Paragraph references are to paragraphs in the Agreement.
1. The following elections shall apply:
(a) paragraph 1. Buy/Sell Back Transactions may be effected under this Agreement, and accordingly the Buy/Sell Back Annex shall apply.
(b) paragraph 1 Transactions in Net Paying Securities may be effected under this Agreement, and accordingly the provisions of sub-paragraphs (i) and (ii) below shall apply.
(i) The phrase “other than equities and Net Paying Securities” shall be replaced by the phrase “other than equities”.
(ii) In the Buy/Sell Back Annex the following words shall be added to the end of the definition of the expression “IR”: “and for the avoidance of doubt the reference to the amount of Income for these purposes shall be to an amount paid without withholding or deduction for or on account of taxes or duties notwithstanding that a payment of such Income made in certain circumstances may be subject to such a withholding or deduction”.
(c) paragraph 1. Agency Transactions may not be effected under this Agreement and accordingly the Agency Annex will not apply. Party A and Party B shall act as Principals under this Agreement. Notwithstanding the foregoing Party B may act as a commercial agent under Russian legislation with respect to commission agency agreements with third parties.
(d) paragraph 2(d). Base Currency shall be Euro. |

1. Применяются следующие решения:
(a) пункт 1. Сделки Покупки/обратной продажи разрешены данным Соглашением, и соответственно будет применяется Приложение о Сделках Покупки/Обратной Продажи.
(b) пункт 1. Сделки с Ценными бумагами с выплатой чистого дохода разрешены данным Соглашением, и соответственно будут применяться положения нижеприведенных подпунктов (i) и (ii).
(i) Фраза «за исключением акций и Ценных бумаг с выплатой чистого дохода» должна быть заменена фразой «за исключением акций».
(ii) В Приложении о Сделках Покупки/Обратной Продажи следующие слова следует добавить в конце определения к выражению "IR": «и во избежание сомнений ссылка на сумму Дохода в этих целях считается ссылкой на сумму, выплаченную без удержания или вычета налогов или сборов, несмотря на то, что выплата такого Дохода, произведенная при определенных обстоятельствах может подлежать такому удержанию или вычету».
(c) пункт 1. Агентские сделки не разрешены данным Соглашением, и, соответственно, Приложение об агентских сделках применять не следует. Сторона A и Сторона B действуют в качестве Принципалов по настоящему Соглашению. Невзирая на вышеизложенное Стороне B разрешается действовать в качестве торгового представителя по российскому законодательству в отношении договоров комиссии с третьими лицами.
(d) пункт 2(d). Базовой валютой является евро.
