WHEREAS:
(A) As at the date of this Agreement, Х holds 2,500,000 (two million five hundred thousand) ordinary shares of a par value of US$ 0.01 each in the Company, representing 100% (one hundred per cent.) of the entire issued share capital of the Company. The Managers are, as at the date of this Agreement, the shareholders of Х.
(B) The Investors wish to subscribe for 2,500,000 (two million five hundred thousand) ordinary shares in the Company of a par value of US$ 0.01 each, in the proportions set out in Schedule 2 (Investors and Shares) in return for an investment of US$ 25,000,000 (twenty five million US Dollars), following such investment Х will hold 50% (fifty per cent.) of the entire issued share capital of the Company, and the Investors will hold 50% (fifty per cent.) of the entire issued share capital of the Company. |

ПРИНИМАЯ ВО ВНИМАНИЕ, ЧТО:
(A) На момент заключения настоящего Соглашения Х принадлежит 2 500 000 (два миллиона пятьсот тысяч) обыкновенных акций Компании с номиналом 0,01 долл. США каждая, которые составляют 100% (сто процентов) всего выпущенного акционерного капитала Компании. Менеджеры на момент заключения настоящего Соглашения являются акционерами Х.
(B) Инвесторы изъявили желание подписаться на 2 500 000 (два миллиона пятьсот тысяч) обыкновенных акций Компании номиналом 0,01 долл. США каждая, в соотношении, указанном в Приложении 2 (Инвесторы и Акции), взамен на инвестицию в размере 25 000 000 долл. США (двадцать пять миллионов долл. США). После внесения данной инвестиции Х будет являться держателем 50% (пятидесяти процентов) всего выпущенного капитала Компании, и Инвесторы будут являться держателями 50% (пятидесяти процентов) всего выпущенного капитала Компании.
