Original Text
(a) Contractor agrees to indemnify and save COMPANY harmless from and against all claims, losses, costs, damages and expenses, including legal expenses, incurred by COMPANY as a result of or in connection with any alleged infringement, misappropriation or misuse of Intellectual Property or Intellectual Property Rights asserted against COMPANY by a third party, and Contractor shall defend, at Contractor’s sole expense, any action involving COMPANY alleging any such infringement, misappropriation or misuse of Intellectual Property or Intellectual Property Rights and shall hold COMPANY harmless from any judgment entered in any such action.
In the event that Contractor is prevented from performing its obligations in terms of this Contract by reason of legal action or proceedings or the threat thereof in respect of the matters referred to in this Clause 25 (a) COMPANY shall be relieved of its obligations to make payment for the Services not performed.
(b) Contractor shall obtain, on COMPANY’s behalf, an indemnity in similar terms to that indemnity referred to in Clause 25 (a), from all Subcontractors and any party from whom Contractor and/ or Subcontractors obtain services directly or indirectly related to the Services. |

(a) Исполнитель согласился предоставить КОМПАНИИ гарантии от убытков и обеспечить непривлечение ее к ответственности по всем искам, убыткам, расходам, ущербу и затратам, включая судебные издержки, понесенные КОМПАНИЕЙ в результате или в связи с любыми предположительными нарушениями, незаконным присвоением и ненадлежащим использованием Интеллектуальной собственности или Прав интеллектуальной собственности, по которым в адрес КОМПАНИИ со стороны третьих лиц поступают претензии, а также Исполнитель за свой счет обеспечивает защиту КОМПАНИИ по любому иску, который связан с любым таким предположительным нарушением, незаконным присвоением и ненадлежащим использованием КОМПАНЕЙ Интеллектуальной собственности или Прав интеллектуальной собственности, а также обеспечивает непривлечение КОМПАНИИ к ответственности по любому решению суда по любому такому иску.
В случае если Исполнитель столкнулся с препятствиями в отношении исполнения им обязательств по условиям Договора, которые выражаются в форме иска или судебного разбирательства или угрозы вышеуказанных действий в отношении вопросов, предусмотренных в Статье 25(a), КОМПАНИЯ освобождается от обязательств по совершению выплат за непредоставленные Услуги.
(b) Исполнитель от имени КОМПАНИИ получает гарантии от убытков на условиях, аналогичных тем, что представлены в Статье 25(a), от всех Субподрядчиков и от любых лиц, которые предоставляют Исполнителю или/и Субподрядчикам услуги, прямо или косвенно связанные с Услугами.
