| В рамках холдинговой структуры предполагается создание Оффшорной компании, которая будет владеть через Промежуточную компанию 100% акций Холдинговой компании. Оффшорная компания будет получать доход в виде дивидендов от Промежуточной компании, а также в виде процентов от Финансовой компании за предоставленные ей займы. Впоследствии данный доход может распределяться в пользу Акционеров посредством распределения дивидендов. Регистрация компании в Оффшорной юрисдикции обусловлена тем, что законодательство таких юрисдикций освобождает от налогообложения любые доходы, получаемые компаниями – резидентами, если такие доходы не связаны с ведением бизнеса в этих юрисдикциях. Так же отсутствует необходимость в удержании налога у источника при выплате дивидендов своим учредителям. |

Within the framework of the holding structure it is planned to establish an Offshore Company that will own 100% of the Holding Company shares through the Intermediary Company. The profits generated by the Offshore Company will be represented by dividends from the Intermediary Company, as well as by the interest from the Financial Company for the loans granted. Subsequently, this profit may be allocated to the Shareholders through dividend distribution. Registration of the company in the Offshore jurisdictions is conditioned by the fact that the legislation of such jurisdictions provides for exemption from taxes of any profits, generated by resident companies, unless such profits are connected with the performance of business within those jurisdictions. Also, there is no need to withhold taxes from the source of profits in payment of dividends to the founders.
